Terms of Service

Assivo, Inc. (d/b/a “TaskGenie”) provides Virtual Assistant Services (collectively, “The Services”, “TaskGenie Services”, “Service” or “Services”) to you, the user, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Services”), as well as any other written agreement between us and you.  In addition, when using particular services or materials on this site, users shall be subject to any posted rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Services.  All such guidelines or rules are hereby incorporated by reference into these Terms of Services.  This Agreement applies to all visitors, users, and others who access the Services (“Users”)

These Terms of Service, including the Privacy Policy, may be updated from time to time. If you keep using the Services, it means you've read and understood the changes. You agree that we don't need to notify you every time we update this agreement.

To access and benefit from the Services, you must agree to these Terms. By using the Services, you affirm that you have read and comprehended these Terms, including any periodic changes. These Terms govern your utilization of, access to, affiliation with, and operation of the Services within the United States and its territories. It's crucial to carefully review these Terms, along with all referenced documents and policies, as they establish a legal agreement between you and Assivo, Inc. and its contractors. Throughout these Terms, the term "including" signifies "including but not limited to." By accessing or using the Services, you acknowledge that you have read, understood, and agreed to adhere to the stipulations outlined in these Terms.

1. Our Services

The Services serve as a marketplace that enables Users of TaskGenie’s Services to be matched with Virtual Assistants (“Virtual Assistants”) who are responsible for the fulfillment and performance of various services on behalf of Users. Virtual Assistants are to be distinguished from Users (defined below).  Virtual Assistants have agreements overseen by TaskGenie. On the other hand, "Users" are individuals using the Services to hire virtual help or complete tasks, following the user agreement's terms.

If you follow these Terms and pay the required fees, TaskGenie gives you a limited right to access and use the Services, whether you're a User or a Virtual Assistant. TaskGenie can end your access to any part of the Services at any time without notice. This right doesn't allow you to resell, modify, or use data mining tools. TaskGenie keeps all other rights. You can't reproduce, duplicate, or misuse the Services. If you don't follow these Terms, TaskGenie can end your access, but the rules still apply even after that.

You represent, acknowledge, and warrant that your use of the Services is in compliance with any and all applicable laws and regulations.

2. User Accounts

Your User Account on TaskGenie gives you access to our services. We may have different types of accounts for different users. If you create an account for a company, you must have the authority to do so.

When you connect with a third-party service, you give us permission to use that service's information and store your login details.

Don't use someone else's account without permission. Provide accurate information when creating your account and keep it updated. You're responsible for your account's activity and should keep your password secure. Notify us of any security issues.

If you give us your email, we may send you important notices and other messages. You can opt out if you don't want these emails, but you might miss important updates.‍

3. Service Rules

You agree not to do the following:

  1. Copy, distribute, or disclose any part of the Service, including using automated tools like "scraping."
  2. Use automated systems (like robots or spiders) in a way that puts more strain on TaskGenie servers than a human using a regular web browser.
  3. Send spam, chain letters, or other unsolicited messages.
  4. Try to interfere with the system's integrity, compromise security, or decrypt transmissions to or from the servers.
  5. Take actions that unreasonably burden our infrastructure.
  6. Upload harmful data, viruses, worms, or other software agents.
  7. Collect personally identifiable information from the Service.
  8. Use the Service for commercial solicitation.
  9. Pretend to be someone else, commit fraud, or hide your identity.
  10. Disrupt the proper functioning of the Service.
  11. Access content through unauthorized means.
  12. Bypass measures we use to prevent or restrict access to the Service, including features that prevent or restrict content use or copying.
  13. Engage in any behavior, conduct, or activity which is prohibited by law

We can change the Service, stop providing certain features, or set limits without notice. We may permanently or temporarily stop or suspend your access to the Service without warning and without any liability for various reasons, including if we believe you violated this Agreement or for no specific reason. Even if your access is terminated, you're still bound by this Agreement.

4. Paid Services

4.1 Billing Policies: Certain parts of the Service may require payment. If you choose to use these paid features, you agree to our Pricing and Payment Terms, which we can update at any time. TaskGenie may introduce new paid services or change fees for existing ones at its discretion.

4.2 No Refunds: You can cancel your User Account or Requests at any time, but there are no refunds unless TaskGenie decides otherwise.

4.3 Solicitation of Assistants: You cannot try to persuade or hire Virtual Assistants who work with TaskGenie without TaskGenie's written consent. This rule continues even after the Agreement ends.

4.4 Free Trials: We might offer free trials for some Services. If you don't want to be charged when the trial ends, you must cancel before midnight Central Time on the last day of the trial.

4.5 Automatic Renewal of Service Fees: If you sign up for a paid service, the fees will automatically renew unless you cancel. You need to notify us before the next billing period if you want to cancel.

4.6 Payment Information; Taxes: You must provide accurate payment information. You're responsible for charges on your payment method and any applicable taxes related to purchases or transactions with the Service.

5. Third-Party Links

Using our Services might include links to third-party websites and their content. TaskGenie doesn't own or control these third-party contents and is not responsible for your use of those sites. You're aware that using such sites is at your own risk.

You release TaskGenie from any liability that might occur while using third-party sites.

6. Indemnity

You agree to defend, indemnify, and hold TaskGenie, its subsidiaries, agents, licensors, managers, and affiliated companies, as well as their employees, contractors, agents, officers, and directors, harmless from any claims, damages, obligations, losses, liabilities, costs, or debt, including attorney's fees, arising from: (i) Your use of and access to the Service, including any data or content transmitted or received by you. (ii) Your violation of any term of this Agreement, including breaches of the representations and warranties. (iii) Your violation of any third-party right, such as privacy or intellectual property rights. (iv) Your violation of any applicable law, rule, or regulation. (v) Any content submitted via your User Account, including misleading, false, or inaccurate information. (vi) Your willful misconduct. (vii) Any other party's access and use of the Service with your unique username, password, or other security code.

7. No Warranty

The Service is provided "as is" and "as available," and your use of it is at your own risk. To the maximum extent permitted by applicable law, there are no warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TaskGenie, its subsidiaries, affiliates, and licensors do not guarantee the accuracy, reliability, or correctness of the content. They do not warrant that the Service will meet your requirements, be available at any particular time, uninterrupted, secure, free of defects or errors, or free of viruses or harmful components.

TaskGenie does not guarantee the suitability, safety, or ability of any Virtual Assistant, nor that an Virtual Assistant will meet your expectations. TaskGenie does not endorse, warrant, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Service.

Federal law, some states, provinces, and other jurisdictions may not allow the exclusion and limitations of certain implied warranties, so some of these exclusions may not apply to you. This agreement provides you with specific legal rights, and you may have additional rights that vary from state to state. The disclaimers and exclusions in this agreement will not apply to the extent prohibited by applicable law.

8. Limitation of Liability

To the maximum extent allowed by law, TaskGenie, its affiliates, agents, directors, employees, suppliers, or licensors are not liable for indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, use, data, or other intangible losses related to the use or inability to use the Service. TaskGenie is not responsible for any damage, loss, or injury resulting from hacking, tampering, unauthorized access, or use of the Service, your account, or the information stored therein.

TaskGenie assumes no liability for errors, personal injury, property damage, unauthorized access to secure servers, transmission interruptions, bugs, viruses, or the like. The maximum liability of TaskGenie, its affiliates, agents, directors, employees, suppliers, or licensors to you is the greater of the amount paid to TaskGenie in your most recent monthly billing cycle or $100.00, whichever is higher.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. TaskGenie does not guarantee that Assistants have specific skills, and it disclaims all liability for the acts or omissions of Assistants. Some states may not allow the exclusion or limitation of certain damages, so these limitations may not apply to you. This agreement gives you specific legal rights, and you may also have other rights that vary by state. The disclaimers, exclusions, and limitations under this agreement will not apply to the extent prohibited by applicable law.

9. Governing Law

You agree that the Service is solely based in Illinois and is considered passive, not giving rise to personal jurisdiction over us in jurisdictions other than Illinois. This Agreement is governed by the internal substantive laws of the State of Illinois, without regard to its conflict of laws principles. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of the Arbitration Agreement in Section 10, preempting all state laws to the fullest extent permitted by law. If the FAA does not apply to any issue related to the Arbitration Agreement, that issue will be resolved under the law of your state of residence. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the exclusive jurisdiction of the federal and state courts located in Cook County, Illinois, for actions where we retain the right to seek injunctive or other equitable relief to prevent the infringement, misappropriation, or violation of our intellectual property rights, as outlined in the Arbitration provision below. Cook County, Illinois, is deemed the proper and exclusive forum for any appeals of an arbitration award or for trial court proceedings if the arbitration provision is found unenforceable.

10. Arbitration

This Section 10, the "Arbitration Agreement," applies to any dispute between you and TaskGenie related to this Agreement, the Service, transactions, or your relationship with TaskGenie. It covers all Claims, whether they arose before or after agreeing to this Agreement. New TaskGenie users can opt-out of this Agreement within 30 days by emailing legal@task-genie.com. Opting out doesn't affect other parts of the Agreement.

For any Claim, contact us at legal@task-genie.com to attempt informal resolution. If unresolved after 60 days, the Claim must be resolved through binding arbitration by JAMS, following their Rules. Arbitration takes place in Cook County, Illinois, unless agreed otherwise. Commercial users pay JAMS fees; non-commercial users may pay if required by JAMS. You can sue in small claims court if eligible. The Arbitrator decides issues related to the Arbitration Agreement. This Section doesn't prevent TaskGenie from seeking injunctive relief or you from asserting claims in small claims court. If void, unenforceable, or unlawful parts are found, they are severed, with the remaining Arbitration Agreement provisions in force. If the Class Action/Jury Trial Waiver is void, only disputes about public injunctive relief go to court; other claims go to arbitration.

11. Class Action / Jury Trial Waiver

For everyone, whether using the Service for personal, commercial, or other purposes, all Claims must be brought individually. You can't bring a claim as a plaintiff or class member in a class action or similar proceeding. This includes class arbitration, unless we agree otherwise, and the arbitrator can't consolidate more than one person's claims. The arbitrator can only award relief to an individual claimant to the extent needed for that individual's claims, and the awarded relief won't affect other TaskGenie users. By agreeing to this, you and TaskGenie waive the right to a trial by jury and to participate in class or representative proceedings.

12. Modification to these Terms

TaskGenie reserves the right to modify the terms and conditions of these Terms. TaskGenie reserves the right to change or modify information referenced throughout these Terms, including arbitrations provisions where herein does not create a renewed opportunity to opt out of arbitration. As such, the continued use of the Services will constitute your consent to such changes.

13. No Professional Advice

All information provided through the Service is for informational purposes only and should not be considered as professional advice. No action should be taken based on the information contained in the Service. It is advisable to seek independent professional advice from a person who is licensed and/or qualified in the relevant area.

14. Security Breaches

While TaskGenie strives to ensure the security of messages through partnerships with top security services, you acknowledge that TaskGenie cannot be held liable or responsible for damages related to security breaches, data breaches, or any other technology breach. Additionally, by using TaskGenie, you accept responsibility for the liability of the tasks assigned. Any liability or loss arising from issues other than a technology breach or an Assistant Issue cannot be attributed to TaskGenie, and TaskGenie cannot be held responsible for such liability or loss faced by you, your business, or any affiliated organization or individual, whether incorporated or unincorporated.

15. General

  1.  Assignment
    You cannot transfer or assign this Agreement, including the associated rights and licenses. However, TaskGenie can freely assign or transfer this Agreement without any restrictions. Any attempt by you to transfer or assign in violation of these terms will be invalid.
  2. Notification Procedures and Changes to the Agreement
    TaskGenie may notify you through email, written notices, or by posting on the website, as determined by TaskGenie. The form and means of notifications are at TaskGenie's discretion. You can opt out of certain notification methods. TaskGenie may modify this Agreement, and when it does so materially, it will update the 'last modified' date and notify you. Your continued use of the Service after such changes indicates your acceptance of the new Terms of Service. If you disagree, do not use or continue to access the Service.‍
  3. Entire Agreement/Severability
    This Agreement, along with any amendments and additional agreements related to the Service, forms the complete agreement between you and TaskGenie. If a court deems any provision invalid, it won't affect the remaining valid provisions, which will still be in full force.‍
  4. No Waiver
    ‍    TaskGenie's decision not to enforce any part of this Agreement doesn't mean it's waiving the right to enforce it later. No waiver of any term is considered an ongoing waiver, and TaskGenie can still enforce any rights or provisions in the future.
